TRIAL ACCESS AGREEMENT FOR VERISK UNDERWRITING INTELLIGENCE MCP OFFERINGS

Notice: Access to or use of the service may require acceptance of this Agreement and additional acknowledgements, certifications, product-specific terms, exhibits, schedules, or other conditions provided by Verisk.
This TRIAL ACCESS AGREEMENT FOR VERISK UNDERWRITING INTELLIGENCE MCP OFFERINGS (“Agreement”) is a binding agreement between you (“Licensee”) and Insurance Services Office, Inc. and its affiliates and subsidiaries (“Verisk”). This Agreement governs Licensee’s time-limited trial access to each MCP Offering identified in Schedule 1 solely through the date specified in Schedule 1 for that MCP Offering (the “Trial Term”), subject to Licensee’s continued license of each applicable Underlying Product (as defined below) and the product-specific terms set forth in Schedule 1. This Agreement does not grant Licensee any right to continued access to an MCP Offering after the applicable Trial Term or any right to production access except under a separate written license with Verisk. BY ACCESSING OR USING ANY MCP OFFERING OR CLICKING “I AGREE,” LICENSEE (A) ACKNOWLEDGES THAT IT HAS READ AND UNDERSTANDS THIS AGREEMENT; (B) ACCEPTS THIS AGREEMENT AND AGREES THAT IT IS LEGALLY BOUND BY ITS TERMS; AND (C) REPRESENTS AND WARRANTS THAT THE INDIVIDUAL ACCEPTING THIS AGREEMENT HAS THE AUTHORITY TO BIND LICENSEE TO THESE TERMS. IF LICENSEE DOES NOT AGREE TO THESE TERMS, DO NOT ACCESS ANY MCP OFFERING. THIS AGREEMENT IS EFFECTIVE AS OF THE DATE LICENSEE FIRST ACCESSES AN MCP OFFERING (THE “EFFECTIVE DATE”).
Verisk reserves the right to modify this Agreement at any time and for any reason, in its sole discretion, without the need to provide notice to you. Unless Verisk specifies otherwise, the amended Agreement will be effective immediately, and your continued use of the MCP Server will confirm your acceptance of the changes. If you do not agree to the amended Agreement, you must immediately notify Verisk, stop using the MCP Server, and comply with the obligations set forth in Section 11(c) herein.
DEFINITIONS.
“AI Model Provider” means the provider identified as the “AI Model Provider” for the applicable Approved AI in Part B of Schedule 1.
“AI Output” means any text, summary, analysis, report, recommendation, or other output generated by an Approved AI that contains, incorporates, summarizes, references, or is derived from or using data obtained through the MCP Server from an MCP Offering.
“AI Query” means any individual request, prompt, tool call, or API call transmitted by or on behalf of an Approved AI to the MCP Server.
“Approved AI” means an artificial intelligence model and corresponding model-provider configuration identified in Part B of Schedule 1 that (i) is accessed by Licensee through Licensee’s private, dedicated enterprise account maintained by the applicable AI Model Provider, with tenant-level isolation and access controls applicable solely to Licensee and its Authorized Users; (ii) is executed exclusively within infrastructure operated and controlled by the applicable AI Model Provider; (iii) does not use, or allow any other party, including the applicable AI Model Provider, to use Verisk Data, AI Outputs, or any derivative works for training, fine-tuning, or improvement purposes; and (iv) is approved and enabled by Verisk for connection to the MCP Server, which approval and enablement Verisk may revise, suspend, or withdraw at any time without notice, including with respect to any specific model, model version, AI Model Provider, deployment configuration, feature, capability, integration, or access method.
“Authorized User” means solely an individual employee of Licensee who (i) has been assigned a unique user ID on Verisk’s applicable electronic delivery platform; (ii) is licensed and entitled under the applicable Underlying Product License to access the Underlying Product required for the applicable MCP Offering; and (iii) is identified in Licensee’s access management system as authorized to initiate AI Queries.
“MCP Offering” means each Verisk offering identified in Schedule 1 that Verisk authorizes Licensee to access or use through the MCP Server, including any combination of Verisk Data, content, services, features, functionality, tools, analytical capabilities, and related components described in Schedule 1.
“MCP Server” means Verisk’s proprietary Model Context Protocol infrastructure, including applicable application programming interfaces, tool catalogs, API gateways, and authentication services, designed to facilitate structured communication between an MCP Offering and an Approved AI.
“Personal Information” means data that identifies, relates to, describes, is capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular individual person and that is non-public information.
“Train” or “Training” means the process of using any MCP Offering, Verisk Data, AI Output, or data or information contained therein, derived therefrom, generated using any of the foregoing, or combined therewith to directly or indirectly create, develop, adjust, calibrate, or improve a foundation model, large language model, or any other artificial intelligence or machine learning model, including supervised learning, unsupervised learning, reinforcement learning, fine-tuning, transfer learning, embedding generation, feature extraction, weight modification, or the creation of vector databases or retrieval indices that persist beyond a single user session.
“Underlying Product” means each Verisk product identified in Schedule 1 that Licensee must license as a condition to accessing or using the applicable MCP Offering.
“Underlying Product License” means the Master Agreement and each applicable Product Supplement, Participation Supplement, order form, or other agreement between Verisk and Licensee governing Licensee’s access to or use of an Underlying Product.
“Verisk Data” means any data, content, information, codes, classifications, analytics, indicators, recommendations, insights, or other materials made available by Verisk to Licensee through an MCP Offering or an Underlying Product, including any portion thereof incorporated into, reflected in, or used to generate an AI Output. Verisk Data does not include information submitted by Licensee through an AI Query, except to the extent such information incorporates or is derived from Verisk Data.
GRANT OF LIMITED AI ACCESS.
Licensee represents and warrants that, for each MCP Offering it accesses, (i) Licensee is a person or entity within the Eligible Licensee category identified for the applicable MCP Offering in Schedule 1; (ii) Licensee maintains an active Underlying Product License for the applicable Underlying Product identified in Schedule 1; (iii) each person accessing or using the MCP Offering is an Authorized User; and (iv) Licensee and each Authorized User comply with this Agreement and the applicable Underlying Product License. Subject to the terms and conditions of this Agreement and the applicable Underlying Product License, and solely during the applicable Trial Term, Verisk grants Licensee a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to permit Authorized Users to access and use the applicable MCP Offering through the MCP Server, using the Approved AI solely for the Permitted Purpose, subject to the Additional Conditions identified for that MCP Offering in Schedule 1 and any technical, transactional, rate, volume, pagination, or other usage limits imposed by Verisk. For clarity, while an Underlying Product License is a prerequisite to access to an applicable MCP Offering, it does not itself grant or guarantee access to any particular content, data, output, feature, or functionality through the MCP Server. The MCP Server provides a separate technical means of accessing certain content, insights, analyses, outputs, and functionality that Verisk makes available through the applicable MCP Offering, which may be sourced from, based on, or derived from the applicable Underlying Product, and does not otherwise expand the rights granted under, or modify or waive any restriction, limitation, or obligation imposed by, the applicable Underlying Product License. The Included Content & Capabilities identified in Schedule 1 describe the types of content and functionality that may be made available through the applicable MCP Offering and do not grant Licensee any right to access, retrieve, obtain, or reproduce the entirety of any Underlying Product, dataset, database, or other Verisk resource. To the extent the Included Content & Capabilities identified in Schedule 1 include data, content, functionality, or analytical capabilities not otherwise covered by the applicable Underlying Product License, Licensee may access and use such components solely as part of the applicable MCP Offering, subject to the Permitted Purpose, Additional Conditions, Trial Term, applicable usage limits, and all other terms and conditions of this Agreement.
Solely within the MCP-based access authorized under Section 2(a), Licensee may combine Verisk Data obtained through an MCP Offering with Licensee’s proprietary data in a retrieval-augmented generation or similar contextual configuration, provided that (i) the combined use is limited to the applicable Permitted Purpose; (ii) Verisk Data is not persistently stored in any vector database, embedding store, knowledge base, or other repository that outlasts the individual user session; and (iii) the combined use otherwise complies with this Agreement, the applicable Underlying Product License, and the applicable Additional Conditions in Schedule 1.
Verisk may revoke, suspend, limit, or modify access to an MCP Offering or the MCP Server at any time in its sole discretion, including if Verisk determines that continued access presents a security risk, intellectual property concern, legal or regulatory risk, or risk to Verisk’s systems, data, services, customers, or third-party rights. Verisk may also add, remove, limit, suspend, or modify any Included Content & Capabilities, technical functionality, access method, transaction limit, rate limit, volume limit, pagination restriction, or other aspect of an MCP Offering at any time, with or without notice. Any such action shall not expand or extend the applicable Trial Term or constitute a breach of this Agreement or the applicable Underlying Product License.
STRICT PROHIBITIONS ON AI USE.
As an express condition of the access granted in Section 2 of this Agreement, Licensee shall not, and shall not permit any Approved AI, Authorized User, Licensee Representative, or any third party to:
Use any MCP Offering, Verisk Data, AI Output, or any data or information contained therein or derived therefrom or therewith, directly or indirectly, to Train any Approved AI or any other artificial intelligence, machine learning, or algorithmic model of any kind.
Use the MCP Server, the Approved AI, or any combination thereof to scrape, mass-download, cache, persistently store, or systematically extract or aggregate any MCP Offering, Verisk Data, or any data or information contained therein, to reconstruct, replicate, approximate, or create a substitute or functional replacement for any MCP Offering, Underlying Product, or any other Verisk product or service or to create, populate, maintain, enhance, or expand any database, dataset, loss cost table, lookup table, rating tool, model output, structured compilation, or repository of information containing or derived from Verisk Data, including any that could be used in lieu thereof or of any information contained therein or derived therefrom or therewith. Without limiting the foregoing, Licensee shall not use (i) iterative, sequential, paginated, or cumulative AI Queries to aggregate Verisk Data beyond what is reasonably necessary for a single, discrete analytical task performed by an individual Authorized User, or (ii) any reconstruction, replication, approximation, substitute, or functional replacement described in the preceding sentence.
Use the Approved AI to alter, delete, write, or input any data back into any Verisk system, database, Underlying Product, or MCP Offering.
Bypass, disable, circumvent, or defeat any rate limits, size limits, data volume caps, pagination restrictions, authentication requirements, or any other technical safeguard or access control enforced by the MCP Server or any Verisk system.
Use the Approved AI to access any MCP Offering, Underlying Product, or other Verisk product or data tier for which the initiating Authorized User is not individually licensed and entitled under the applicable Underlying Product License.
Permit the applicable AI Model Provider (or any successor or replacement provider) to access, retain, use, or process Verisk Data obtained through the MCP Server for any purpose other than the real-time processing of Licensee's AI Queries, including but not limited to the Training of the AI Model Provider's own models or the improvement of the AI Model Provider's products and services. Licensee shall ensure, through binding contractual terms with its AI Model Provider, that all Verisk Data processed by the Approved AI is treated as Confidential Information of Verisk and is subject to protections no less stringent than those set forth in the Underlying Product License.
Include any Personal Information in any AI Query transmitted to the MCP Server.
Undertake any of the following: (i) use the Approved AI to infer, reconstruct, or reverse-engineer the methodology, algorithms, actuarial processes, weighting factors, or data selection criteria underlying any MCP Offering or Underlying Product, or any other Verisk products or services; (ii) use prompt engineering, iterative querying, or any other technique to extract information about Verisk's proprietary processes not directly provided as part of the licensed MCP Offering; or (iii) attempt to determine the identity or data of any other Verisk customer or participant.
Use the Approved AI, or permit any integration, plugin, connector, or automated workflow, to route, forward, transmit, or make available any Verisk Data obtained through the MCP Server to any third-party application, platform, system, or service (including CRM systems, business intelligence tools, competing analytics platforms, or vendor software) without Verisk's prior written consent.
Integrate or permit any third-party tool, plugin, agent, or connector to access, interface with, query, or operate on Verisk Data obtained through the MCP Server, unless such third-party tool is identified in Schedule 1 hereto and the third-party provider is licensed by Verisk to access the applicable Underlying Product solely to provide a product or service to Licensee. For the avoidance of doubt, the requirement under the Underlying Product License that any third party be directly licensed by Verisk applies to any third party seeking to access AI Outputs or Verisk Data (or any content derived therefrom or therewith) through, from or in connection with the Approved AI or the MCP Server; provided, however, that no such license shall, by itself, grant any right to access such content through the MCP Server or within any AI system absent such third party being identified in a schedule to this Agreement or a specific license or written authorization expressly permitting such access, and nothing in this Agreement shall be construed to diminish, waive, supersede, or otherwise limit these requirements. Any third party expressly authorized by Verisk to access Verisk Data, AI Outputs, or derivatives through the MCP Server (including an AI Model Provider) or in connection with the Approved AI may use such materials solely to provide services to Licensee in support of Licensee’s Permitted Purpose, and not for such third party’s own internal purposes, product or service development, commercial exploitation, or independent benefit.
AUTHENTICATION, ACCESS CONTROL, AND IDENTITY MAPPING.
Licensee is strictly responsible for managing and securing all API keys, tokens, credentials, and certificates used by its Approved AI to access the MCP Server, including, without limitation, any tokens verified through identity providers such as Okta or similar policy agents. Licensee shall treat all such credentials as Confidential Information and shall immediately notify Verisk of any suspected or actual compromise thereof.
Licensee must configure its Approved AI to transmit with each AI Query the unique identity of the specific, individual Authorized User who initiated the prompt or request giving rise to such AI Query. Licensee shall not multiplex, pool, aggregate, or share a single Authorized User identity, credential, token, or session across multiple human users via the Approved AI or otherwise. Each AI Query shall be attributable to, and shall count against the entitlements of, a single named Authorized User. Each AI Query or sequence of related tool calls must be traceable to a discrete, human-initiated prompt; Licensee shall not permit the Approved AI to autonomously initiate, chain, or execute follow-on AI Queries or tool calls without a specific human-initiated prompt or request giving rise to each such query sequence.
Licensee shall maintain complete and accurate logs of all AI Queries, including, at a minimum, the following for each AI Query: (i) the unique identity of the initiating Authorized User; (ii) a timestamp; (iii) the MCP Offering accessed; and (iv) the nature and scope of the data returned. Licensee shall retain such logs for a period of no less than three (3) years and shall make such logs available to Verisk upon request in connection with any audit conducted pursuant to Section 8 of this Agreement or the Underlying Product License.
Verisk reserves the right to immediately suspend, throttle, rate-limit, or terminate MCP Server access, in whole or in part, without prior notice, if Verisk detects or reasonably suspects abnormal usage patterns, excessive API call volumes, potential security threats, unauthorized access attempts, prompt injection attacks, or any other activity originating from Licensee's Approved AI that Verisk determines, in its sole discretion, poses a risk to Verisk's systems, data, infrastructure, or other customers.
Any suspension, throttling, rate-limiting, or termination of MCP Server access by Verisk pursuant to this Section 4 shall not constitute a breach of this Agreement or the Underlying Product License, and shall not give rise to any claim, liability, damages, service-level credits, or other remedy by Licensee against Verisk, regardless of whether such action results in a degradation or interruption of Licensee's access to the MCP Offerings through the MCP Server.
INTELLECTUAL PROPERTY AND OUTPUT RESTRICTIONS.
Without limiting the intellectual property protections set forth in the Underlying Product License, Licensee expressly waives any claim or defense that the ingestion of any Verisk Data into an Approved AI's context window, the transformation of any element of an MCP Offering or Underlying Product by any Approved AI or other large language model, or the inclusion of Verisk Data in any AI Output creates in Licensee or any third party, or transfers to Licensee or any third party, any right, title, interest, or ownership rights in or to the Verisk Data, MCP Offering, or Underlying Product, or otherwise diminishes Verisk’s rights therein. Licensee shall not claim any right, title, or interest in, or ownership of, any AI Output that constitutes or contains a derivative work of Verisk Data, or any data or information therein or derived therefrom or therewith.
In addition to the copyright notice requirements set forth in the Underlying Product License, Licensee shall configure its Approved AI to reproduce, in all user-facing AI Outputs that contain, summarize, reference, or are derived from or with Verisk Data, (i) all applicable Verisk proprietary rights notices and copyright legends and (ii) as applicable, any mandatory "Product Authorization and Local Requirements" advisory notice (or a materially equivalent disclaimer approved by Verisk in writing). Licensee shall implement reasonable technical measures to ensure such notices and disclaimers are automatically appended to or included in all such AI Outputs.
Licensee shall not use any AI Output as a final, actionable classification, rate, price, premium, audit finding, coverage determination, or binding underwriting decision without meaningful independent human review and verification by a qualified Authorized User. All AI Outputs shall be treated as preliminary, advisory, and subject to independent verification by Licensee. Licensee’s access to and use of each MCP Offering is also subject to any additional conditions identified for that MCP Offering in Schedule 1. Such conditions supplement the generally applicable requirements of this Agreement, and the more restrictive requirement applies in the event of a conflict.
For purposes of this Section 5, the definition of “Authorized User” in this Agreement shall control over any broader definition in the Underlying Product License with respect to the distribution or disclosure of AI Outputs or any derivative works or other content derived from or with Verisk Data. Licensee acknowledges and agrees that (i) AI Outputs, and derivative works and other content created, generated, or otherwise derived from or with Verisk Data (irrespective of whether such Verisk Data is incorporated or reproduced therein) are deemed Confidential Information of Verisk pursuant to the Underlying Product License and subject to the protections therein and herein, (ii) Licensee shall not commercialize, share, publish, distribute, or use such AI Outputs, derivative works, or other content as the basis for any commercial product or service offering, or make such content available to any person other than Authorized Users with a bona fide need to know and who are bound by obligations of confidentiality no less restrictive than those set forth in the Underlying Product License, without Verisk’s prior written consent, and (iii) all AI Outputs, derivative works, and other content created, generated, or otherwise derived from or with Verisk Data shall not be considered independently developed by Licensee, irrespective of whether such materials could theoretically be reproduced without the use of such Verisk Data.
When Licensee provides Verisk with comments, suggestions, feedback, or recommendations regarding the MCP Server, an MCP Offering, or Verisk’s AI-enabled access methods (“Feedback”), Licensee grants Verisk a non-exclusive, irrevocable, royalty-free, fully paid-up, worldwide right to use, disclose, reproduce, modify, create derivative works of, distribute, and otherwise exploit such Feedback for any purpose, including to operate, maintain, support, enhance, and improve Verisk products and services, without restriction or obligation of any kind to Licensee.
Licensee acknowledges and agrees that Verisk may monitor, log, and analyze AI Queries, AI Outputs, and Licensee’s use of the MCP Server as reasonably necessary to operate, secure, support, audit, and maintain the MCP Server and MCP Offerings and ensure compliance.
LIABILITY FOR AI ACTIONS.
Without limiting Licensee’s responsibilities under the Underlying Product License, Licensee assumes full responsibility and liability for all actions, omissions, errors, and outputs of its Approved AI, including, without limitation, any unauthorized access, data exfiltration, prompt injection, jailbreaking, or other security incident, to the same extent as if such actions were performed directly by Licensee's Authorized Users. Licensee acknowledges that any relationship between Licensee and any Approved AI would be established independently of this Agreement, and that Verisk does not provide, control, or assume responsibility for any aspect of such relationship, including any data handling obligations, or any fees, usage charges, or other costs imposed by such Approved AI. Licensee acknowledges that Model Context Protocol is an open-source protocol with documented, inherent architectural risks, including remote code execution and data transportation through un-sanitized interfaces, and that Licensee is solely responsible and liable for securing, sandboxing, and sanitizing all data and other inputs it provides in connection with the MCP Server and any AI Outputs, derivatives or insights it receives therefrom.
Without limiting Licensee’s responsibilities under the Underlying Product License, Licensee acknowledges that the MCP Offerings and AI Outputs do not provide insurance advice, underwriting determinations, coverage decisions, or recommendations, and may not be relied upon as a substitute for advice from a licensed insurance professional.
Licensee acknowledges and agrees that when Verisk Data is processed, summarized, interpreted, or otherwise handled through any artificial intelligence system (including any Approved AI), (i) such processing may alter its form, structure, substance, and presentation and does not necessarily reflect the original content as provided by Verisk, (ii) such outputs are not reviewed, validated, verified, or guaranteed by Verisk, (iii) Verisk makes no representation or warranty, express or implied, with respect to the accuracy, completeness, fidelity, integrity, or preservation of meaning of any content or output following AI processing, and (iv) Licensee assumes full responsibility for any validation of and reliance upon any such processing and outputs.
THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH IN THE UNDERLYING PRODUCT LICENSE SHALL APPLY IN FULL TO ALL AI OUTPUTS AND TO ALL ACCESS TO AND USE OF THE MCP SERVER. WITHOUT LIMITING THE FOREGOING, VERISK EXPLICITLY DISCLAIMS ALL LIABILITY FOR (I) ANY BUSINESS, UNDERWRITING, PRICING, RATING, RESERVING, CLAIMS-HANDLING, OR OPERATIONAL DECISIONS MADE BY LICENSEE, ITS EMPLOYEES, ITS AUTHORIZED USERS, OR ITS APPROVED AI (WHETHER ACTING AUTONOMOUSLY OR SEMI-AUTONOMOUSLY) BASED ON VERISK DATA RETRIEVED THROUGH THE MCP SERVER, AND (II) ANY UNAUTHORIZED DATA ACCESS, MALICIOUS CODE EXECUTION, SYSTEM BREACHES, OR DATA EXFILTRATION OCCURRING WITHIN LICENSEE’S OR A THIRD PARTY’S ENVIRONMENT AS A RESULT OF LICENSEE’S USE OF THE MCP SERVER. DURING THE TRIAL TERM, VERISK MAKES NO COMMITMENT REGARDING AVAILABILITY, UPTIME, RESPONSE TIMES, OR PERFORMANCE OF THE MCP SERVER, AND NO SERVICE LEVEL AGREEMENT OR SERVICE CREDIT SHALL APPLY.
INDEMNIFICATION BY LICENSEE.
Licensee shall defend, indemnify, and hold Verisk, its Affiliates, and their respective directors, officers, employees, agents, participants, and third-party providers harmless from and against any and all losses, damages, claims, suits, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of, relating to, or based upon: (i) Licensee's use of the Approved AI to access any MCP Offering or Underlying Product through the MCP Server (including the Approved AI executing unauthorized actions, such as prompt injection attacks, data exfiltration, or unauthorized write-back to Verisk systems); (ii) any third-party claim arising from Licensee’s distribution of such AI Output; (iii) any failure by Licensee to comply with the identity mapping, logging, or authentication requirements of Section 4; (iv) any third-party claim that an AI Query or AI Output infringes, misappropriates, or violates the intellectual property or privacy rights of any third party or causes or contributes to the MCP Server or AI Outputs doing so; (v) any breach by Licensee’s AI Model Provider of the confidentiality or use restrictions applicable to Verisk Data; or (vi) any regulatory investigation, enforcement action, fine, or penalty arising from Licensee’s use of AI Outputs in connection with underwriting, pricing, rating, or claims-handling decisions in violation of applicable insurance laws, regulations, or regulatory guidance governing the use of artificial intelligence. This indemnification obligation is independent of, and in addition to, any indemnification obligations under the Underlying Product License, and shall not be limited by the scope of the indemnification set forth therein.
AI-SPECIFIC AUDIT RIGHTS.
The audit rights, procedures, and remedies set forth in the Underlying Product License are hereby expanded to expressly include Verisk’s right to audit Licensee's AI Query logs, AI system configurations, Approved AI deployment architecture, and any related records to verify Licensee's compliance with this Agreement, including, without limitation, compliance with the identity mapping requirements of Section 4, the prohibitions of Section 3, and the output requirements of Section 5. Licensee hereby grants to Verisk a non-exclusive, irrevocable, royalty-free, fully-paid-up right and license to access and review any AI Queries, AI Outputs, derivative works or insights created, generated, or otherwise derived from or with Verisk Data for the sole purpose of conducting compliance audits and detecting patterns of systemic extraction prohibited under Section 3.
DATA RETENTION, CACHING, AND PURGE OBLIGATIONS.
Licensee shall not permit its Approved AI to persistently store, cache, index, or retain any Verisk Data obtained through the MCP Server beyond the duration of the individual user session in which such Verisk Data was retrieved. For purposes of this Section, “individual user session” means a single, continuous period of interaction between an Authorized User and the Approved AI that terminates when the Authorized User ends the session or after a period of inactivity defined by Licensee’s system configuration (not to exceed twenty-four (24) hours).
Upon expiration of the applicable Trial Term for an MCP Offering, termination of this Agreement, or Verisk’s revocation of access under Section 2(c), as applicable, Licensee shall, within fifteen (15) days, purge, delete, and destroy all Verisk Data obtained through the affected MCP Offering and any structured derivatives that incorporate or were derived from or with such Verisk Data (e.g., lookup tables, compiled outputs, or models) from any system, cache, vector database, embedding store, retrieval index, or other storage medium associated with the Approved AI and, upon Verisk’s request, certify such destruction in writing to Verisk. The foregoing does not require deletion of Licensee data, except to the extent such data incorporates or is derived from Verisk Data.
AI SECURITY INCIDENT NOTIFICATION.
In the event of any security incident involving the Approved AI’s access to or use of the MCP Server, including, without limitation, any unauthorized access to Verisk Data, successful prompt injection attack, credential compromise, or data exfiltration (each, an “AI Security Incident”), Licensee shall promptly, and in no case later than forty-eight (48) hours from Licensee’s confirmation of such incident, notify Verisk of the incident and provide a detailed written report describing the nature, scope, and impact of the incident. Each AI Security Incident shall constitute a security breach under the Underlying Product License and shall trigger all applicable mitigation, notification, and cooperation obligations thereunder, regardless of whether such incident independently satisfies the definition of “Licensee Security Breach” in the Underlying Product License. To the extent the forty-eight (48) hour notification period set forth in this Section conflicts with any longer notification period in the Underlying Product License, the forty-eight (48) hour period in this Agreement shall control.
Licensee shall comply with all remediation, mitigation, and cooperation obligations applicable to a security breach under the Underlying Product License with respect to any AI Security Incident.
TERM AND TERMINATION.
The term of this Agreement shall commence on the Effective Date and continue until the expiration of the last Trial Term applicable to an MCP Offering authorized for Licensee, unless earlier terminated. Each MCP Offering is subject to the separate Trial Term identified for it in Schedule 1. Expiration of a Trial Term terminates Licensee’s rights with respect to the applicable MCP Offering only. Upon expiration of the last applicable Trial Term, this Agreement automatically expires. Access to each MCP Offering during its applicable Trial Term is provided at no additional charge beyond the fees payable under the applicable Underlying Product License. Verisk may terminate this Agreement, in whole or in part, for its convenience at any time by notifying Licensee, which notice may be electronic, with such termination effective immediately unless Verisk specifies a later effective date. Upon expiration of the applicable Trial Term, Licensee’s access to the applicable MCP Offering will automatically terminate. Verisk is under no obligation to offer Licensee continued access, any particular pricing, or a definitive license agreement following the applicable Trial Term, and nothing in this Agreement creates any expectation or right to post-trial access. A separate written license with Verisk is required for continued or production access to an MCP Offering after the applicable Trial Term.
The Parties agree that any breach of Section 3 (Strict Prohibitions on AI Use), Section 4(b) (Identity Mapping), or Section 9 (Data Retention, Caching, and Purge Obligations) of this Agreement shall constitute a non-curable material breach of this Agreement and the applicable Underlying Product License, entitling Verisk to immediately terminate this Agreement and suspend or terminate Licensee’s access to the applicable MCP Offering, with or without notice. Termination of this Agreement shall not, by itself, terminate the applicable Underlying Product License, unless Verisk elects otherwise in writing. Upon any such breach, Verisk shall be entitled to seek, in addition to its other rights and remedies hereunder or at law, injunctive or equitable relief, without the necessity of posting bond, and such further relief as may be proper from a court of competent jurisdiction.
Upon expiration of the applicable Trial Term or termination of this Agreement for any reason, all rights, licenses, and permissions granted to Licensee under this Agreement shall immediately terminate, and Licensee shall cease all access to and use of the applicable MCP Offering, the MCP Server, AI Outputs, and any content obtained or generated through or in connection with the MCP Server. Without limiting the foregoing, expiration or termination of this Agreement shall trigger Licensee’s data deletion, purge, and certification obligations set forth in Section 9, which shall survive expiration or termination.
SURVIVAL AND INTEGRATION.
Except as expressly supplemented or modified by this Agreement, all terms, covenants, and conditions of each applicable Underlying Product License remain unchanged and in full force and effect. This Agreement supplements and forms part of each applicable Underlying Product License. In the event of any conflict between this Agreement and an applicable Underlying Product License, this Agreement shall control solely with respect to access to and use of the applicable MCP Offering and the other subject matter expressly addressed herein.
Sections 3, 5, 6, 7, 8, 9, 10, 11(c), and 12, together with any provisions of the applicable Underlying Product License that by their nature or express terms survive, shall survive expiration or termination of this Agreement. Expiration or termination shall not affect any rights, remedies, liabilities, or obligations accrued before the effective date of expiration or termination.

It does not describe the entirety of any Underlying Product, dataset, database, content repository, functionality, or service, nor does it guarantee that any particular content, feature, output, or functionality will be available to any Licensee. Availability is determined by Verisk in its discretion and may depend, without limitation, on customer authorization, applicable terms, and enabled functionality.
A designation of “Expired” means that no current trial access is authorized. Verisk may authorize a future trial for the applicable MCP Offering only by specifying a new Trial Term in writing.
