JERSEY CITY, N.J., Oct. 3, 2006 — Kenneth E. Thompson, an attorney specializing in mergers and acquisitions, securities law, corporate finance and general corporate counseling at McCarter & English, has joined ISO as senior vice president and general counsel.
In announcing the appointment, ISO Chairman, President and CEO Frank J. Coyne said, “Ken is uniquely qualified to help ISO as we pursue a strategy of growth through acquisition. He will play a key role in helping us shape our future.”
Jersey City–based ISO is a privately held global corporation that provides data, analytics and decision-support solutions to professional in many fields, including property/casualty insurance, finance, real estate, health services, government organizations and human resources.
At McCarter & English, New Jersey’s largest law firm, Thompson handled a wide range of transactions, including acquisitions of entire companies as well as purchases of divisions and discrete business segments. He managed the licensing of developmental and commercially distributed pharmaceutical products and the structuring of joint ventures.
Before joining ISO, Thompson represented the company on a number of transactions, helping ISO establish its footprint in mortgage fraud analytics and estimation software services for the property/casualty insurance industry.
Thompson has managed a number of major mergers and acquisitions outside the property/casualty arena, including the acquisition of a U.S. and U.K. sensor manufacturing business on behalf of an AMEX-listed company, the sale of an international privately held toy company to a Canadian public company, and the acquisition of a smoking-cessation business for a global pharmaceutical company. Thompson has also advised public companies on their securities law responsibilities (including under Sarbanes-Oxley) and on the implementation of various antitakeover defensive strategies.
Thompson holds a juris doctor degree from Boston University School of Law and a bachelor of arts degree from the State University of New York at Stony Brook, where he graduated cum laude.
